By accessing or using Headwater's services (the "Service"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, do not use the Service.
Headwater provides community intelligence and content strategy services for YouTube creators, educators, and brands. The Service analyzes publicly available YouTube data to generate strategic insights, audience intelligence reports, and content recommendations.
You must be at least 18 years of age (or the age of majority in your jurisdiction), the owner or authorized representative of the YouTube channel being analyzed, and able to enter into legally binding contracts. By submitting a YouTube channel URL for analysis, you represent and warrant that you own or have the legal right to authorize analysis of the specified channel.
We collect and analyze publicly available data from YouTube via the YouTube Data API v3. For full details on what data we collect, store, and how we handle it, see our Privacy Policy.
Headwater retains all right, title, and interest in our platform, technology, proprietary algorithms, methodologies, scoring systems, brand, and aggregated anonymized benchmark data. You retain all rights to your YouTube channel, content, and materials you provide to us.
You receive a perpetual, non-exclusive license to use reports we generate for you. You may use reports for internal business purposes, share them with employees, contractors, or advisors under confidentiality, and implement recommendations. You may not resell, redistribute, or commercialize our reports, reverse-engineer our methodologies, or use reports to create competing services.

We offer a satisfaction guarantee: if the analysis does not surface at least 3 specific, actionable findings you did not already know, each traceable to exact source data, contact us within 14 days of delivery for a full refund. Refund requests must include specific feedback about why the report did not meet expectations. Refunds are not available after 14 days from report delivery.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We cannot and do not guarantee specific business outcomes, increased views, subscribers, or revenue. The Service provides informational analysis and recommendations only and does not constitute professional business, legal, financial, or tax advice. While we strive for accuracy, we rely on YouTube's API data, which may contain errors or be incomplete. Our algorithms make probabilistic classifications.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADWATER'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO HEADWATER IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL HEADWATER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
You agree not to use the Service for any illegal purpose, to analyze channels you do not own without authorization, to harass or harm any person, to reverse-engineer our technology, to resell or sublicense access, to build competing products, or to violate YouTube's Terms of Service or Community Guidelines.
You may terminate your use of the Service at any time by canceling active subscriptions and ceasing use. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, pose a security risk, or fail to pay fees owed. Upon termination, provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution survive.
You may request export of reports and aggregated metrics at any time. You may request deletion of your data, and we will delete your account and associated information within 30 days. Contact [email protected] for export or deletion requests.
This Service uses YouTube API Services. By using our Service, you agree to be bound by the YouTube Terms of Service and acknowledge Google's Privacy Policy.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts in Vancouver, British Columbia, Canada. Before initiating formal proceedings, you agree to contact us at [email protected] to attempt informal resolution for at least 30 days.
We may modify these Terms at any time. Changes are effective immediately for new users and 30 days after notice for existing users. Continued use after changes constitutes acceptance. For material changes, we will provide at least 30 days' notice and you may terminate without penalty.
